SHAREHOLDER NOTICE: Brodsky & Smith Announces an Investigation of Albireo (Nasdaq – ALBO)

BALA CYNWYD – January 9, 2023 /Newsfile/ – Law office of Brodsky & Smith announces that it is investigating potential claims against the Board of Directors of Albireo (“Albireo” or the “Company”) (Nasdaq – ALBO) for possible breaches of fiduciary duty and other violations of federal and state law in connection with the Company’s agreement to be acquired by Ipsen (Euronext – IPN: ADR – IPSEY). Under the terms of the agreement, Ipsen will acquire Albiero for $42.00 per share in cash at the closing of the transaction, for an initial estimated aggregate consideration of $952 million plus one contingent value right (CVR) per share. Each CVR will entitle its holder to deferred cash payments of $10.00 per CVR payable upon the U.S. Food and Drug Administration (FDA) approval of Bylvay in the Biliary Atresia indication at the latest by 31 December 2027, allowing for a potential increase in the number of patients in the BOLD study.

The investigation concerns whether the Albireo Board breached its fiduciary duties to shareholders by failing to conduct a fair process, and whether Ipsen is paying too little for the Company.
